TITIJAYA LAND BERHAD ("TITIJAYA" OR "COMPANY") REPLY TO THE LETTER FROM BURSA MALAYSIA SECURITIES BERHAD DATED 28 FEBRUARY 2017 (REF: IQL-28022017-00004)

We refer to your Company's amended announcement dated 27 February 2017, in respect of the aforesaid matter.

In this connection, kindly furnish Bursa Securities with the following additional information for public release:-

1. The basis of arriving at the purchase consideration of RM 70,919,000.

2. The justification of arriving at the purchase consideration of RM 70,919,000.

3. What is the proposed use of Land 2 and Land 3 (note Land 1 is for housing development)?

4. Section 3 - For all the 3 Lands, to provide the following details:

(i) is the land in the process of being developed or is intended to be developed;

(ii) to provide the development potential;

 (iii) total development cost;

(iv) expected commencement and completion date(s) of development;

(v) expected profits to be derived;

(vi) the stage of percentage of completion;

(vii) sources of funds to finance the development cost; and

(viii) whether the relevant approvals for the development have been obtained

5. Section 5- To state the name of independent registered valuer and when was the valuation made? To state brief conclusion of the valuation report, if relevant.

6. Section 7 – To state the particulars of all liabilities to be assumed arising from the Proposed Acquisition.

7. Section 11- To state the effects of the transaction on its net assets per share and gearing based on the latest audited consolidated financial statements for the most recently completed financial period, assuming that the Proposed Acquisition had been effected at the beginning of that financial period.
