Reference is made to the Company’s announcement released on 14 March 2023 pertaining to the winding-up petition that was served on Renofajar Sdn. Bhd. (“Renofajar” or “Respondent”), an indirect wholly-owned subsidiary of Titijaya.

Unless otherwise defined in this announcement, the terms used throughout this announcement shall have the same meaning as defined in the announcement dated 14 March 2023 in relation to the winding-up petition.

The Board of Directors of Titijaya wishes to announce that Renofajar had in the late evening of 28 August 2023 received a winding-up order dated 4 August 2023 against Renofajar on the application by Chia Wai Hing (“Petitioner”), issued by the High Court in Sabah and Sarawak at Kota Kinabalu (“Court”). The Court orders:- (i) That Renofajar be wound-up by the Court under the provisions of the Companies Act 2016; and

(ii) The Official Receiver of Malaysia be constituted liquidator for the purpose of the winding-up of Renofajar. The Official Receiver is an officer of the Court and is under a duty to act and administer the affairs of Renofajar independently of the Board of Directors of Renofajar.

The Company may nonetheless seek periodic updates from the Official Receiver in respect of the winding-up of Renofajar and further update will be provided in due course.

Impairment will be provided for investment of Renofajar in Titijaya.
