Transactions (Chapter 10 Of Listing Requirements) : Non Related Party Transactions

The Company wishes to announce that Asas Dinasti Sdn. Bhd. [Registration No. 201601032805 (1203746-K)], an indirect wholly owned subsidiary of Titijaya, had on 26 May 2025 entered into a Sale and Purchase Agreement (“SPA”) with the following parties, for the acquisition of a piece of land held under Individual Title No. CL015682612 (formerly NT013087459 & NT013087440), situated at Kg. Numbok, Kuala Menggatal, District of Kota Kinabalu, Sabah together with the Properties erected thereon for a total purchase consideration of RM99,000,000.00, subject to the terms and conditions as stipulated in the SPA ("Proposed Acquisition"):-
