Pursuant to paragraph 9.19(23) of the Main Market Listing Requirements, the Board of Directors of Titijaya wishes to announce that the Company had on 24 March 2015 acquired two (2) ordinary shares of RM1.00 each, representing 100% of the issued and paid-up share capital of Premsdale Development Sdn. Bhd. (Company No. 1121985-U) ("Premsdale Development"), for a total consideration of RM2.00 ("Acquisition").

Following the above Acquisition, Premsdale Development has become a wholly-owned subsidiary of Titijaya.

Premsdale Development was incorporated as a private company limited by shares on 9 December 2014. The authorised share capital of Premsdale Development is RM400,000/- divided into 400,000 ordinary shares of RM1.00 each. The present issued and paid-up share capital of Premsdale Development is RM2.00 divided into two (2) ordinary shares of RM1.00 each.

Premsdale Development has not commenced business since its corporation.

None of the directors and/or major shareholders of Titijaya and/or persons connected to them, has any interests, direct or indirect in the above Acquisition.

The announcement is dated 21 April 2015.

Note: The amended announcement is made to reflect the effective date of acquisition of shelf company on 24 March 2015 instead of 19 March 2015.
