Transactions (Chapter 10 Of Listing Requirements) : Related Party Transactions

We refer to the announcements dated 21 May 2014, 17 June 2014, 19 January 2015 and 12 February 2015 in 

relation to the Proposed Acquisition ("Announcements"). Unless otherwise stated, the terms used herein shall

 have the same meaning as defined in the said Announcements in relation to the Proposed Acquisition. 

On behalf of the Board, TA Securities wishes to announce that CMD and the Vendor had on 21 September

 2015 mutually agreed to extend the date for fulfilment of the Conditions Precedent stipulated in the SPA and

 Supplemental Agreement from 21 September 2015 until 10 November 2015.

The Board wishes to inform that and as represented by the Vendor, the Vendor have recently completed part

 of the conditions precedent of the TGSB Agreement and are now pursuing actively to secure the State 

Authority's consent to transfer the Land. The Vendor had secured an extension of time from the Registered 

Proprietor to complete the TGSB Agreement by 10 November 2015. In this regard, the extension of time 

between CMD and the Vendor until 10 November 2015 to fulfil all the Conditions Precedent as stipulated 

in the SPA and Supplemental Agreement is necessary to facilitate the completion of the SPA and 

Supplemental Agreement.    

Any further extension after the expiry of the abovementioned date will be subject to agreement between

 both parties.
