Pursuant to paragraph 9.19(23) of the Main Market Listing Requirements, the Board of Directors of Titijaya wishes to announce that the Company had on 21 January 2016 acquired two (2) ordinary shares of RM1.00 each, representing 100% of the issued and paid-up share capital of Titijaya Development (Pulau Pinang) Sdn. Bhd. (formerly known as Golden Integrity Sdn. Bhd.) (Company No. 1165342-V) (“Titijaya Development”), for a total consideration of RM2.00 (“Acquisition”):-

Titijaya Development was incorporated in Malaysia as a private company limited by shares on 9 November 2015. The authorised share capital of Titijaya Development is RM400,000 divided into 400,000 ordinary shares of RM1.00 each of which 2 ordinary shares of RM1.00 each have been issued and fully paid-up.

The Directors and shareholders of Titijaya Development together with their respective shareholdings in Titijaya Development are as follow:-

Following the above Acquisition, Titijaya Development has become a wholly owned subsidiary of Titijaya.

Titijaya Development has not commenced business since its corporation.

Tan Sri Dato’ Lim Soon Peng, Mr. Lim Poh Yit and Ms. Lim Puay Fung, are Directors and Major Shareholders of Titijaya. They are also Directors of Titijaya Development.

Save for Tan Sri Dato’ Lim Soon Peng, Mr. Lim Poh Yit and Ms. Lim Puay Fung, none of the Directors and/or major shareholders of Titijaya and/or persons connected to them have any interests, direct or indirect in the above Acquisition.

The Board of Directors of Titijaya (with the exception of Tan Sri Dato’ Lim Soon Peng, Mr. Lim Poh Yit and Ms. Lim Puay Fung who are interested in the Acquisition and have abstained from Board deliberation and voting on the resolution approving the Acquisition), is of the opinion that the above Acquisition is in the best interest of Titijaya.
