We refer to the announcements dated 30 September 2016, 11 November 2016, 16 December 2016, 23 December 2016, 13 January 2017, 24 February 2017, 20 June 2017 and 3 July 2017 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that Bursa Securities had, vide its letter dated 28 July 2017 (which was received on 31 July 2017), resolved to approve the following:

(i)   Proposed Share Split;

(ii)  listing of and quotation for 79,732,622 TLB Shares to be issued pursuant to the Proposed Issuance of Consideration Shares;

(iii) admission to the Official List for the listing of and quotation for up to additional 614,999,899 irredeemable convertible preference shares in TLB (“Additional ICPS”) in consequence of adjustments arising from the Proposed Share Split; and

(iv) listing of and quotation for up to 614,999,899 new TLB Shares to be issued pursuant to the conversion of the Additional ICPS.

The approval by Bursa Securities for the Proposals is subject to the following conditions:

(i)   TLB and TA Securities, being the Adviser, must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposals;

(ii)  TLB and TA Securities to inform Bursa Securities upon the completion of the Proposals;

(iii) to incorporate the comments from Bursa Securities in the circular to shareholders;

(iv) to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals is completed;

(v)  TLB to furnish Bursa Securities with a certified true copy of the resolutions passed by the shareholders at extraordinary general meeting approving the Proposals; and

(vi) TLB is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the conversion of the Additional ICPS as at the end of each quarter together with a details computation of the listing fees payable.
