Pursuant to Section 618(2) of Companies Act 2016 ("Act"), upon the commencement of Section 74 of the Act, any amount standing to the credit of a company's share premium account and capital redemption reserve shall become part of the company's share capital. A company may within 24 months upon commencement of Section 74 of the Act, use the amount standing to the credit of its share premium account for certain purposes as prescribed in the Act. As at the date of this announcement, the ordinary issued share capital of the Company is RM523,159,190.40 including share premium of RM139,526,078.00. 48,365,467 Consideration Shares, 15,359,791 Consideration Shares and 16,007,364 Consideration Shares have been allotted to the Vendors and their nominees, namely Titi Kaya Sdn Bhd, LEW Assets Sdn Bhd (being the nominee of Lee Eng Wah of which Lee Eng Wah is the sole director and shareholder of the company) and LWY Holding Sdn Bhd (being the nominee of Lim Wen Yeh of which Lim Wen Yeh is the sole director and shareholder of the company), respectively. The listing of the 79,732,622 Consideration Shares marks the completion of the Acquisition and Issuance of Consideration Shares. |
