Reference is made to the Company’s announcement dated 28 November 2017 in relation to the acquistion of two (2) ordinary shares, representing 100% of the issued share capital of Asas Dinasti Sdn. Bhd. (Company No. 1203746-K) (“Asas Dinasti”) by Titijaya Resources Sdn. Bhd. (Company No. 1078020-X) (“TRSB”), a wholly owned subsidiary of Titijaya, for a total consideration of RM2.00.

The Board of Directors of Titijaya wishes to announce that TRSB had on 5 December 2017 subscribed for additional 3,998 new ordinary shares in the enlarged issued share capital of Asas Dinasti, for a total cash consideration of RM3,998.00 (“Subscription”).

That following the Subscription, the Company’s effective interest in Asas Dinasti through TRSB, shall reduce from 100% to 40%. As a result, Asas Dinasti has become an indirect associate of the Company.

The Subscription will have no material effect on the earnings per share, net assets per share, gearing, share capital and the substantial shareholders’ shareholdings of Titijaya.

None of the Directors and/or major shareholders of Titijaya and/or persons connected to them has any interests, direct or indirect in the above Subscription.
