Reference is made to the Company’s announcements dated 18 April 2014 and 18 March 2015 in relation to the Joint Venture Agreement entered into between Titijaya and Bina Puri Construction Sdn. Bhd. on 18 April 2014.

(Unless otherwise defined, capitalised terms used in this announcement shall have the same meaning as those given to them in the initial announcements made on 18 April 2014 and 18 March 2015.)

The Board of Directors of Titijaya wishes to announce that the Company has on 21 March 2018, entered into:-

(a) a  Deed of Mutual Termination with Prosperous Hectares Sdn. Bhd. (“PHSB”) (a 70%- owned subsidiary of Titijaya), Bina Puri Construction Sdn. Bhd. (“BPCSB”) and Bina Puri Development Sdn. Bhd. (“BPDSB”) (a wholly-owned subsidiary of BPCSB) for the termination of the Joint Venture Agreement dated 18 April 2014 made between Titijaya and BPCSB (“Termination of JV Agreement”); and

(b) a Shares Sale Agreement with BPCSB for the acquisition of 900,000 ordinary shares, representing 30% equity interest in PHSB (“PHSB Sale Shares”) from BPCSB for a purchase consideration of RM900,000, thereby making PHSB a wholly-owned subsidiary of Titijaya (“Proposed 30% PHSB Acquisition”).
