Reference is made to the Company’s announcement on 21 March 2018 in connection with the termination of Joint Venture Agreement dated 18 April 2014 made between Titijaya and Bina Puri Construction Sdn. Bhd. (“BPCSB”) and the proposed acquisition of 30% equity interest in Prosperous Hectares Sdn. Bhd. by Titijaya from BPCSB, thereby making Prosperous Hectares Sdn. Bhd., a wholly-owned subsidiary of Titijaya.

The Board of Directors of Titijaya wishes to announce that the Company has on 21 March 2018, entered into the following agreements:-

(i)       a Joint Venture Agreement (“JVA”) with Bina Puri Properties Sdn. Bhd. (“BPPSB”) and Bina Puri Development Sdn. Bhd. (“BPDSB”) for the strategic collaboration to jointly participate in the proposed development of a piece of freehold land held under H.S (D) No. 103349, Lot PT110, Seksyen 69, Bandar Kuala Lumpur, Daerah & Negeri Wilayah Persekutuan Kuala Lumpur situated at Brickfields, District of Kuala Lumpur measuring approximately 11.2 acres (“Land”) (“Proposed Joint Venture”); and

(ii)      a Shares Sale Agreement with BPCSB for the proposed acquisition of 280,000 ordinary shares, representing 70% equity interest in BPDSB (“Sale Shares”) for a purchase consideration of RM28,000.00 (“Proposed 70% BPDSB Acquisition”);

upon the terms and subject to the conditions therein contained.
