Reference is made to the Company’s announcement dated 29 November 2017 in relation to the Shareholders’ Agreement entered into between the Company, Tokyu Land Corporation (“TLC”) and Epoch Property Sdn. Bhd. (“Epoch Property”) (collectively referred to as “Parties”) (“Shareholders’ Agreement”) pursuant to the conditional share subscription agreement entered by TLC and Epoch Property (“Subscription Agreement”) for the subscription of Class A shares in Epoch Property in accordance with the terms and conditions of the Subscription Agreement.

(Unless otherwise defined, capitalised terms used in this announcement shall have the same meaning as those given to them in the initial announcement made on 29 November 2017.)

The Board of Directors of Titijaya wishes to inform that the Company had on 1 July 2018 entered into a Supplemental Shareholders’ Agreement (“Supplemental SHA”) for the purpose of varying the timeline for distribution of the annual dividend under the Shareholders’ Agreement and to amend, modify and/or vary the relevant terms and conditions contained therein in line with the aforesaid variation.
